General Terms and Conditions for Dealers

1. Scope

These General Terms and Conditions (GTC) govern the contractual relationship between Outleap GmbH & Co. KG (hereinafter referred to as "Gunfinder") and the merchants (hereinafter referred to as "Customer"). The use of the platform generally begins with a free basic access. In addition, the Customer has the option to conclude paid merchant subscriptions.  Gunfinder acts solely as a mediator between the merchants and their customers and assumes no responsibility for the products or services offered by the merchants. These GTC apply to the  free use as well as to all services provided within the framework of a subscription, in particular the use of the platform and related advertising and sales activities. These GTC apply in addition to the general GTC of Gunfinder.

2. Subject Matter of the Contract

Gunfinder provides the dealer with a platform to advertise products and services and to connect with potential buyers. Gunfinder itself will not be a contractual partner in the contracts concluded between the dealer and the buyer. The conclusion of the contract, the processing, and the enforcement of claims are solely the responsibility of the contracting parties (dealer and buyer).

Gunfinder acts exclusively as a technical provider of the platform on which dealers can post their offers and buyers can view them. The products offered, their descriptions, and pricing are solely the responsibility of the dealer.

3. Scope of Services

The scope of services is determined by the chosen usage model:

• Basic Usage: Free registration and the simultaneous posting of up to two (2) ads/listings.
• Dealer Subscriptions: For additional services (e.g., more listings, auctions, advertising credits), various paid subscriptions (Starter, Pro, Expert, Enterprise) are available.

A switch from Basic Usage to a paid subscription occurs exclusively through explicit order by the customer within their profile.
Gunfinder assumes no guarantee for the success of the products listed on the platform or for the conclusion of contracts between dealers and buyers.

4. Advertising Credit

As part of certain subscriptions, the customer receives a monthly advertising credit, which can only be used for advertising banners on the Gunfinder platform and its partner sites. The advertising credit is subject to the following conditions:

• The advertising credit is provided monthly and is only valid for the respective month.
• Unused advertising credit expires at the end of the month and cannot be carried over to the next month.
• Cash withdrawal of the advertising credit or any other compensation for unused credit is excluded.
• The advertising credit can only be used for advertising banners, and not for highlights or other advertising products.

5. Duration, Renewal and Termination

The contract for the dealer subscription is concluded for an indefinite period and is automatically renewed at the end of each month, unless terminated. The termination can be made by the dealer at any time via the Gunfinder profile. The termination must be made at least 30 days before the end of the month to be effective.

Gunfinder reserves the right to terminate the subscription extraordinarily if the dealer violates essential contractual provisions, particularly legal requirements or these terms and conditions.

6. Disclaimer

Gunfinder is only liable to the extent permitted by law and is excluded from liability in all areas as far as legally possible. In particular:

• Gunfinder assumes no responsibility for the accuracy, completeness, or legality of the content posted by merchants on the platform.
• Gunfinder is not liable for damages arising in connection with the mediation of sales, the use of the platform, or due to the unavailability of the platform, unless there is intent or gross negligence.
• Gunfinder is not liable for lost profits, business interruptions, data losses, or other direct or indirect damages.
• Gunfinder is not a contracting party to the purchase agreements concluded via the platform and assumes no warranty or guarantee for the proper execution of the purchase agreements between merchants and buyers.
• Any contractual claims of the buyer against the merchant, in particular claims for defects, must be asserted exclusively against the merchant. Gunfinder is excluded from any responsibility and liability for these claims.
• The liability of Gunfinder for intentional or grossly negligent conduct remains unaffected.

7. Prices and Payment Terms

The registration as well as the basic use according to section 3 is free of charge. Costs only arise when the customer actively subscribes to a paid subscription.
The amount of the monthly subscription fee depends on the chosen subscription plan. All prices are stated in euros and are exclusive of the statutory value-added tax. The payment of the monthly subscription fee is made in advance, either by direct debit or another agreed payment method. The merchant commits to pay all due amounts on time.

In the event of payment default, Gunfinder reserves the right to suspend access to the platform and the services of the merchant subscription until the outstanding payments have been settled.

8. Obligations of the Customer

The merchant is responsible for the legal correctness and completeness of the content he has posted on the platform, particularly the product descriptions and price information. Gunfinder assumes no liability for any legal violations by the merchant.

Gunfinder reserves the right to remove content that violates legal provisions or these GTC without prior notice. The merchant is obliged to ensure that the products he offers do not violate applicable laws, particularly weapons law.

9. Changes to the Terms and Conditions

Gunfinder reserves the right to change these Terms and Conditions at any time. Changes will be communicated to the dealer at least 14 days before they take effect via email or through the dealer profile. If the dealer does not object to the changes within the specified period, the amended Terms and Conditions will be considered accepted. In the event of an objection, Gunfinder reserves the right to terminate the contractual relationship.

10. Final Provisions

If individual provisions of these GTC are or become ineffective, the effectiveness of the remaining provisions shall remain unaffected. The ineffective provision will be replaced by an effective provision that comes as close as possible to the economic purpose of the ineffective provision.

The law of the Federal Republic of Germany applies. The exclusive place of jurisdiction for all disputes arising from or in connection with these GTC is the registered office of Outleap GmbH & Co. KG, provided that the merchant is a businessman within the meaning of the Commercial Code.
